1. Acceptance of Terms
By creating an account, accessing the service, generating content, uploading content, or using n3xra.com, you agree to these Terms of Service. If you do not agree, do not use the service.
2. Service Description
N3XRA LLC, registered in Oregon and operating n3xra.com, provides a platform for practical software, records tools, project systems, and AI tools. Features may include N3XRA Records, AI-assisted records search, meeting recording, transcription, speaker detection and optional speaker identification, phone and messaging features, personal accounts, app-specific profiles, libraries, shared workspaces, role-based access, public or embedded views, generated content, and paid subscription tiers.
3. Accounts and App Access
- One N3XRA account may be used across multiple N3XRA apps, but each app may have its own profile, workspace, permissions, plan, dashboard, or activation requirements.
- You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.
- You must provide accurate account information and keep it reasonably current.
- You may not access the service through unauthorized means or attempt to bypass security, permissions, usage limits, subscriptions, or billing controls.
4. N3XRA Records
Library owners and authorized administrators may grant other users access to records libraries or organizations. Access levels may include owner, account admin, editor, and viewer. You are responsible for assigning access appropriately and for reviewing who can view or manage your records, documents, meetings, metadata, and public or embedded content.
N3XRA Records may include AI-assisted search, summaries, tables, drafting assistance, source excerpts, saved AI memories, library AI settings, file-level AI notes, usage tracking, phone and browser meeting recordings, transcript creation, speaker detection, optional speaker identification, editable AI minutes drafts, speaker corrections, and short audio samples from a meeting. AI features are provided to assist your review of records and may be incomplete, inaccurate, or based on limited source material. AI drafts are not an official or verified record until an authorized user reviews and approves them. You are responsible for reviewing source records, transcripts, speaker names, and AI outputs before relying on them, publishing them, or making decisions from them.
If you record, call into, or upload audio for transcription, you are responsible for having the rights, notices, permissions, and consents required for that recording and for every person and item of content included in it. Device settings, browser behavior, network failures, telephone-provider limitations, or locking or leaving an app may interrupt capture despite available recovery features.
Speaker detection may produce generic labels without any enrolled profile. Voice-profile enrollment is optional, requires the signed-in user to affirmatively consent and record their own voice, and creates a biometric voice signature used only to attempt to name that user in future meeting transcripts. A voice profile is not an authentication or identity-verification tool. Speaker labels, matches, and confidence scores may be incorrect, and authorized users must review and correct them where accuracy matters.
Authorized administrators may invite another organization to accept a record packet containing a meeting recording, transcript, notes, references, and generated documents. Acceptance changes ownership to the recipient organization, creates recipient-controlled copies, and revokes existing share links for the packet. Administrators must be authorized to transfer the content and must verify the intended recipient before sending an invitation.
An authorized customer may grant N3XRA support scoped, temporary access to specified customer content for support. Such access expires after 24 hours unless revoked sooner and is audited. You are responsible for granting only the access needed for the support request.
5. User Content and License
You retain responsibility for documents, records, text, metadata, recordings, transcripts, AI questions and answers, saved AI memories, file AI notes, reviews, generated content, and other content you upload, submit, generate, save, or share through the service. You represent that you have the rights needed to upload, store, process, generate, share, display, and use that content.
You grant N3XRA and its service providers a limited license to host, store, process, transmit, display, and otherwise use your content as needed to provide, secure, support, and improve the service.
6. Intellectual Property and System Ownership
Unless explicitly stated in a separate written agreement, N3XRA retains ownership of proprietary systems, infrastructure, source code, AI implementations, backend architecture, automations, API integrations, webhook systems, reusable frameworks, and internal development methods used during project creation.
Clients retain ownership of their business data, branding, logos, uploaded content, customer information, and business-specific materials provided by the client.
For a custom website project, the client owns the completed client-specific website files and final project assets identified in the approved proposal after all build charges, approved additions, and applicable third-party costs have been paid in full. When applicable and requested, N3XRA will provide a copy of those completed files or transfer the client-specific repository and domain access that N3XRA controls.
Client ownership does not include N3XRA's reusable proprietary systems, AI orchestration, internal management tools, automation frameworks, general-purpose components, deployment architecture, security infrastructure, server-side integrations, or third-party materials that cannot legally be transferred. Those items remain owned by N3XRA or their respective licensors and may be licensed for use as part of the completed project.
Projects other than custom websites may use different ownership, licensing, migration, or handoff terms stated in the applicable proposal or service agreement.
7. Acceptable Use
- You may not use the service for unlawful, fraudulent, infringing, deceptive, harmful, or abusive purposes.
- You may not upload malicious code, attempt unauthorized access, scrape restricted areas, or interfere with the service.
- You may not use the service to violate privacy, confidentiality, records-related, intellectual property, or contractual obligations that apply to you.
- You may not record, upload, transcribe, or share audio unless you have the rights, notices, permissions, and consents required for that use.
- You may not enroll another person's voice, use speaker identification for biometric authentication, or use voice profiles for covert surveillance, unlawful tracking, or any purpose without the required notice, consent, and legal authority.
- You may not attempt to bypass Records document limits, storage limits, account limits, paid-plan limits, security controls, or billing controls.
8. Website Projects and Service Plans
- A website request, AI intake review, estimate, or proposal is not a bill and does not require N3XRA to accept a project. The final scope, build price, service plan, deposit, payment schedule, outside costs, and expected timeline are established in the approved proposal and related agreement.
- Work begins after the required approvals, agreement, and deposit or initial payment are received. Client delays in providing content, access, feedback, or approvals may extend the project timeline.
- Basic website builds currently start at $250. Advanced website builds currently start at $500 and are custom quoted. A website with payments, online sales, customer accounts, portals, memberships, scheduling systems, file uploads, protected content, automation, API or CRM integrations, multilingual functionality, or comparable custom functionality is treated as an Advanced project.
- Founding Client Starter service is currently $25 per month or $270 per year when paid annually. It includes managed hosting, SSL and routine security maintenance, backups, monitoring, normal-business-hours support, and website edits available at the then-applicable standard hourly rate, currently $75 per hour.
- Founding Client Starter+ service is currently $40 per month or $432 per year when paid annually. It includes Starter service, priority handling with support requests accepted 24/7, and up to 30 minutes of eligible routine website edits per monthly service period. Included edit time expires at the end of each monthly period and does not roll over.
- Starter+ included edits are limited to routine content, image, and minor layout changes. Additional eligible edits currently receive a 30% discount from the standard $75 hourly rate and are billed at $52.50 per hour. New pages, redesigns, custom features, integrations, urgent after-hours work, and other work outside routine edits are quoted separately.
- Advanced website service currently starts at $50 per month or $540 per year when paid annually. The final service price and included support are based on the system's functionality, infrastructure, integrations, maintenance, and support requirements and are stated in the proposal.
- Requests may be submitted at any time, but priority handling or 24/7 request acceptance does not guarantee an immediate response, continuous staffing, or a specific response time unless a written service-level commitment says otherwise.
- Annual website service reflects a 10% savings and is paid in advance. Cancellation, renewal, and any refund eligibility are governed by the approved proposal, related agreement, and applicable law.
- Founding Client Pricing remains available while the qualifying website service stays continuously active. If service is canceled, lapses, or becomes delinquent, future service may be offered under the pricing and terms then available.
- A valid website referral code accepted before the proposal is finalized provides 10% off the eligible website build unless the proposal states otherwise. Referral discounts have no cash value, do not reduce recurring service or third-party charges, and may not be combined with another build discount unless N3XRA approves it in writing.
- Domains, premium software, paid plugins, payment-processing fees, stock assets, licenses, and other third-party products or services are separate from the website build and service plan unless expressly included in the proposal.
- Work, launch, hosting, support, transfer, or final delivery may be paused while an account is delinquent. Outstanding approved charges remain due after cancellation.
9. Partner Programs
Participation in an N3XRA partner program is subject to separate eligibility, referral, commission, attribution, payment, and conduct requirements. If you apply to or participate in a partner program, the Partner Program Terms supplement these Terms of Service and control for partner-program matters.
10. Billing and Subscriptions
- Paid features may require an active subscription.
- Subscriptions are billed through Stripe or another payment processor made available by n3xra.com.
- You authorize recurring charges for paid plans until cancellation.
- Plan limits, pricing, included features, usage allowances, document limits, storage limits, user limits, voice-profile limits, meeting or phone minutes, speaker-processing limits, Records AI request limits, transcription limits, token estimates, and overage rules may change prospectively.
- Features may be limited, delayed, or unavailable when a plan reaches its storage, user, document, voice-profile, meeting, phone, speaker-processing, AI, transcription, security, or payment limits.
- If payment fails or an account becomes delinquent, access to paid features may be limited, suspended, or downgraded.
11. SMS Terms and Conditions
- By actively selecting an SMS consent checkbox or verbally agreeing after the N3XRA receptionist reads the SMS disclosure, you agree to receive low-volume transactional text messages from N3XRA at the mobile number you provide.
- Messages may include requested links, account verification or recovery notices, security alerts, appointment reminders, meeting or records notifications, support responses, and requested inquiry follow-ups. Message frequency varies based on your activity and requests.
- Message and data rates may apply. Consent is not a condition of purchase.
- You may reply STOP to opt out at any time. After opting out, you will receive no further SMS messages unless you provide new consent. Reply HELP for assistance or contact support@n3xra.com.
- Wireless carriers are not responsible for delayed or undelivered messages. N3XRA may modify or discontinue its SMS program, subject to applicable notice requirements.
12. Availability and Changes
n3xra.com may modify, suspend, or discontinue features at any time. We aim to keep the service available, but we do not guarantee uninterrupted or error-free operation. Features that rely on third-party providers, including AI generation, telephone or SMS service, speech processing, transcription, speaker detection or identification, transcript extraction, third-party platform availability, and payment processing, may be affected by provider availability, changes, errors, rate limits, access restrictions, or outages.
13. Termination
We may suspend or terminate access if these terms are violated, if use presents legal, billing, abuse, or security risk, or if continued service is not practical. You may stop using the service at any time, subject to any outstanding billing obligations.
14. Disclaimer
The service is provided on an "as is" and "as available" basis. AI outputs, transcripts, speaker labels, speaker identities, confidence scores, meeting minutes, summaries, tables, video metadata, framework analyses, comparison results, hooks, scripts, captions, CTAs, and generated content may be incomplete, inaccurate, unavailable, or unsuitable for your intended use. To the maximum extent permitted by law, n3xra.com disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, originality, uninterrupted availability, and error-free operation.
15. Limitation of Liability
To the maximum extent permitted by law, n3xra.com will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, business, content, generated output, or goodwill arising from or related to use of the service.
16. Changes to These Terms
We may update these terms from time to time. If we make material changes, the updated version will be posted here with a revised effective date. Continued use of the service after changes take effect means you accept the revised terms.
